This site is operated by Abide With Me, LLC, an Ohio limited liability company (the “Company”). By using the AbideWithMe.us Website, (the “Website”) you agree to be bound by these Terms of Use (this “Agreement”), whether or not you register as a member of AbideWithMe.us (“Member”). If you wish to become a Member and make use of the AbideWithMe.us service (the “Service”), please read these Terms of Use. If you do not agree with anything in this Agreement or the AbideWithMe.us Privacy Policy, do not use the Website or the Service. The Terms of Use are subject to change by the Company at any time, without prior notice, effective upon posting on the AbideWithMe.us website, and your use of the Service after such posting will constitute acceptance by you of such changes.

Acceptance of Service

This is a legal agreement between you and the Company. Please carefully read the Agreement before registering for the Service. By completing. your registration and affirmatively indicating your acceptance by clicking on the “I Accept” Button below, you will become a Member of the Service and agree to be bound by the terms and conditions of this agreement (the “Terms”) for as long as you continue to be a Member. IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT REGISTER FOR THE SERVICE. The Terms are subject to change by the Company at any time, and will be effective upon posting updated Terms on our Website; your use of the Service after such notice will constitute your acceptance of such changes.

In order to use this website, you must first complete and transmit the on-line registration form to the Company. As part of the registration process you will be required to furnish your contact information (such as name and email address) and to select a nickname (user name) and a password. Upon receiving your account from us, you are responsible for all activities that occur under that account. You agree to protect and safeguard it against unauthorized use. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You agree that you will be solely liable for any damage or loss arising from your failure to abide by this section. AbideWithMe.us reserves the right to refuse membership to any person, as well as the right to block, at our sole discretion, any IP addresses from accessing this Site if we deem it necessary to maintain the integrity of the Service.

The stated purpose of our Service is “to provide an online forum for people to self-publish their needs for housing or assistance; to bring together people who can mutually benefit from one another’s aid, support, and situation; and to enable the elderly and disabled to remain in their own homes by locating live-in help.” The services are provided “as-is” and “as available”. As an online “bulletin board”, we assume no responsibility for the information posted on this site by either individuals or advertisers.

PLEASE NOTE: WE DO NOT SCREEN POSTINGS OR RUN BACKGROUND CHECKS ON THOSE USING THIS SITE. WE HAVE NO MEANS TO VERIFY THE INFORMATION GIVEN TO US BY A MEMBER OR POSTED ON THIS SITE. Our Right to Modify Agreement

The Company reserves the right at any time to modify or discontinue any part or all of the Service, temporarily or permanently, with or without notice. You agree that the Company shall not be liable to you or to any third party for any changes, suspension or discontinuance of the Service.

Fees and costs

As a “Basic Member”, posting a need on AbideWithMe.us is free, as is viewing all listings. When you see a situation that interests you, click on Accept and your information will be sent to that person. If that person, after reading your profile, also clicks Accept, a $19.95 subscription fee will be billed to each of you, upgrading you each to “Advanced Member”, enabling you to begin corresponding with each other on our site.

Why do both people pay?
By requiring both people to pay, both parties will have an equal investment in fully exploring the possibility of meeting each other’s needs. This is an incentive for both parties to respond and to put time and energy into the process.

What if someone wants to talk with me, but, after reading his/her profile, I’m not interested?
Simply click Decline and a message to that effect will be sent to that person. Neither party is billed unless both click Accept.

If, after corresponding with that person, I choose not to pursue an agreement, do I get my money back?
No. The Company has already provided the service in good faith. However, your initial fee enables you to contact additional parties for 30 days.

What if I see several ads that I’d like to respond to? Do I pay for each one?
No. The $19.95 subscription fee allows you unlimited access for a period of 30 days. What a deal!

Charges on your billing account

The Company bills Premium Members through an online account (your “Billing Account”) for the use of the Service. You agree to pay the Company all charges at the prices currently in effect for any use of the Service by you (or other person acting as your agent) through the use of your Billing Account. By selecting your “Payment Method Provider” (i.e., an accepted credit or debit card), you authorize the Company to charge your chosen Payment Provider. You agree to make payment using that selected Payment Method. If, for any reason, the Company does not receive payment from your Payment Method Provider, you agree to pay all amounts due on your Billing Account upon demand. In addition, the Company reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.

In order for the Company to bill your account, you must provide us with current, complete and accurate information. Any changes in billing address, credit card number, expiration date or any other information necessary to keeping your billing account up-to-date must be promptly provided to the Company. In addition, you must notify the Company immediately in the event of cancelling your credit card (for instance, in the case of loss or theft) or if you become aware of a possible breach of security, including the unauthorized disclosure or use of your user name or password. Such changes can be made at abuse@abidewithme.us or by calling 1-330-484-2772.

The Company will send Advanced Members a notice at Day 25 and again at Day 29 that their Advanced Membership will expire on Day 30. If you wish to continue to correspond with additional people on the Website, you must again authorize the $19.95 subscription fee to be charged to your Billing Account.

Eligibility

You must be at least eighteen (18) years of age and have reached the age of majority in your State of residence to register as a member of AbideWithMe.us or use the Website. Membership in the Service is void where prohibited. By using the Website, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

Proprietary Rights

Trademark Information. AbideWithMe.us, the AbideWithMe.us logo, trademarks and service marks, and other AbideWithMe.us logos and product and service names are trademarks of Abide With Me, LLC (the “AbideWithMe.us Marks”). Without prior written consent from Abide With Me, LLC, you agree not to display or use in any manner, the AbideWithMe.us Marks.

Ownership of Service

The Company owns and retains proprietary rights in the Service but does not own the information and content submitted by our Members. The Service contains copyrighted material, trademarks, and other proprietary information of the Company, its licensors and licensees. In addition, other Members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you agree not to copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

License to use of content

Although Abide With Me, LLC does not claim ownership of Content that its users post, by posting Content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant to Abide With Me, LLC an irrevocable, perpetual, non-exclusive, royalty-free, worldwide license to use, copy, display, and distribute said Content and to prepare derivative works of, or incorporate into other works, said Content, and to grant and authorize sublicenses (through multiple tiers) of the foregoing. You represent that you own all Content you post, and that it is accurate. Furthermore, by posting Content to any public area of the Service, you automatically grant Abide With Me, LLC all rights necessary to prohibit any subsequent aggregation, display, copying, duplication, reproduction, or exploitation of the Content of the Service by any party for any purpose.

Copyright protection for service

The Service is protected to the maximum extent permitted by copyright laws and international treaties. Content displayed on or through the Service is protected by copyright as a collective work and/or compilation, pursuant to copyright laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of the site or the collective work, and/or copying or reproducing the sites or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of AbideWithMe.us. You further agree not to reproduce, duplicate or copy Content from the Service without the express written consent of AbideWithMe.us, and agree to abide by any and all copyright notices displayed on the Service. You may not decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Service. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Service. AbideWlthMe.us is a registered mark in the U.S. Patent and Trademark Office.

Third-party copyright policy

You may not reproduce in any way, including posting or distributing, any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide Abide With Me, LLC with the following information: a description of where the disputed material is located on the Website; your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; a written statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized agent to act on the copyright owner’s behalf; and an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright.

Online Conduct and Content

As a Member you agree that:

a. You are solely responsible for the information (Content) you publish, display, upload, download, or otherwise communicate in any manner (hereinafter, “post”) on the Service, or transmit to other Members.

b. You will not post on the Service, or transmit to other Members or otherwise communicate any unlawful, defamatory, inaccurate, abusive, vulgar, obscene, profane, libelous, offensive, sexually-oriented, threatening, harassing, or racially-, religiously- or ethnically-objectionable material, or any material that infringes or violates another party’s rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity) or that violates federal, state or local Fair Housing statutes or equal opportunity laws. Furthermore you will not engage in actions to promote the physical harm or harassment of another person; take action in or promote spamming; provide information that you know is false, misleading, illegal, or designed to exploit any other; or otherwise provide instructional information about illegal activities such as making or buying illegal weapons, violating someone else’s right to privacy or providing or creating computer viruses. (In other words, treat others as you would want to be treated!)

c. You will abide by any and all applicable local, state, national and international laws and regulations.

d. You will not provide inaccurate, misleading or false information to the Company or to any other Member, nor misrepresent yourself or your situation. Neither will you publish identifying information about another person without that person’s explicit consent. If information provided to the Company, or another Member, subsequently becomes inaccurate, misleading or false, you will promptly notify the Company of such change.

e. Your initial posting will contain no personal identifying information, such as full name, postal or email address, or phone number. Only upon becoming an Advanced Member are you able to correspond with specific individuals and disclose such personal information as you desire.

f. You will not engage in advertising to or solicitation of other Members, including affiliate marketing or link referral code to other commercial services or web sites, to buy or sell any products or services through the Service. You will not transmit any chain letters, viruses, spam, pyramid schemes or junk E-mail to other Members.

g. You accept full responsibility for your interactions with other Members. You understand that the purpose of this Website is to provide an online forum to enable people to locate one another for mutually beneficial relationships. As such, THIS WEBSITE DOES NOT MAKE OR SUGGEST “MATCHES”; YOU SELF-SELECT ALL CHOICES. You agree to take normal precautions when meeting individuals through the Service. Additionally, you agree to review the recommendations set forth in AbideWithMe’s Safety Tips (click here to view). However, adherence to these Safety Tips in no way guarantees your safety.

h. You understand that the Company makes no guarantees, either express or implied, regarding the veracity of other Members’ Content or your ultimate compatibility with individuals you meet through the Service.

i. You will promptly report to the Company any violation of the Terms of this Agreement by other Members.

j. The Company does not screen Members or their posted Content. Therefore, you agree to evaluate and bear all risks associated with meeting others through this Service. The Company reserves the right, but has no obligation, to review the Content posted in the public areas of the Service and may delete any such material that it deems in violation of this Agreement. Despite this, YOU ARE SOLELY RESPONSIBLE FOR THE CONTENT OF THE INFORMATION AND PHOTOGRAPHS YOU POST IN THE PUBLIC AREAS OF THIS SERVICE AS WELL AS IN YOUR PRIVATE E-MAIL MESSAGES. E-mails sent between you and other Members that are not readily accessible to the general public will be treated as private by the Company to the extent permitted by applicable law. YOU ARE SOLELY RESPONSIBLE FOR ANY INTERACTIONS YOU HAVE WITH OTHERS THROUGH THIS SITE, WHETHER OTHER MEMBERS, AFFILIATE SITES, ADVERTISERS OR OTHERS.

k. Additionally, you agree not to:

  • contact anyone who has asked not to be contacted
  • stalk, intimidate, or otherwise harass anyone
  • impersonate any other person
  • collect personal data about other users for commercial or unlawful purposes
  • use any manual or automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Service unless expressly permitted by AbideWithMe.us
  • interfere with or disrupt the Service or others connected to the Site
  • post irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on our infrastructure
  • attempt to gain unauthorized access to AbideWithMe.us’s computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service of the AbideWithMe.us website

Dealings with advertisers

Any business conducted between you and any advertisers found on or through the AbideWithMe.us Website is solely between you and such advertiser. The Site makes no claims or warranties regarding advertisements found on the Site and is not responsible for any loss or damage of any kind resulting from such dealings.

The Service may provide, or other parties found on our site may provide, links to other resources or World Wide Web sites. You understand that AbideWithMe, LLC has no control over such external sites, and you acknowledge and agree that AbideWithMe.us is in no way responsible for any aspect of such resources, including their availability, or their Content, opinions, advertising, products or other materials. You also acknowledge and agree that AbideWithMe, LLC shall not be responsible or liable, directly or indirectly, for any loss or damage caused or alleged to be caused by or in connection with the use of, or reliance upon, any such Content, goods or services available on or through any such site or resource.

Confidentiality

With the exception of the information provided to other Members according to the terms of the Service and as provided in the Company’s privacy policy or below, the Company will keep confidential all information supplied to the Company by you, including your full name, actual email address, credit card number(s) and other financial information. We shall use or disclose such information only for billing purposes, or as required by court order or applicable law. You are responsible for avoiding the posting of your full name, address, email address, phone number or other identifying information, until such time YOU choose to disclose it to an individual with whom you are corresponding at the Premium Membership Level.

Account security

Account Security. You are responsible for maintaining the confidentiality of the username and password that you designate during the Registration process, and you are fully responsible for all activities that occur under your username and password. You agree to (a) immediately notify AbideWithMe.us of any unauthorized use of your username or password or any other breach of security, and (b) ensure that you exit from your account at the end of each session. AbideWithMe, LLC will not be liable for any loss or damage arising from your failure to comply with this provision. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. If you share your computer with others, you may wish to consider disabling your auto-sign in features if you have linked your Microsoft.Net Passport to your AbideWithMe.us account.

Indemnity

You hereby agree, at your expense, to indemnify, defend and hold harmless AbideWithMe, LLC, its officers, directors and employees, agents, service providers, suppliers and their respective successors and assigns from and against any claims of loss, cost, damages, liability, and/or expense, including reasonable attorney fees, made by any third party due to Content you submit, post, transmit or make available to the Service, including any breach by you of the terms of this Agreement.

Unauthorized Users

It is possible that other Members or users (including unauthorized users, or “hackers”) may post or transmit indecent or otherwise offensive materials on the Service and that you may be involuntarily exposed to such materials. It is also possible for others to obtain personal information about you through your use of the Service, which may be used to harass or harm you. The Company is not responsible for the use of any personal information that you disclose on the Service. Avoid posting any personal identifying information, such as full name, email or physical address, or phone number. Only after corresponding with someone and weighing the risks should you release such personal information to that person.

Limitation of Liability

Statements, offers, advice, or other information or content made available through the AbideWithMe.us Website, but not directly by the Company, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content.

a. Under no circumstances shall the company be liable for any direct, indirect, incidental, special, or consequential damages resulting from or relating to the use or inability to use the service, including, without limitation, damages for loss or corruption of data or programs, service interruptions and the cost of procurement of substitute services, even if the Company knows or has been advised of the possibility of such damages. The Company makes no warranty as to the availability and connectivity of the service. In no way will the company’s aggregate liability, on any form of action whatsoever in connection with this Agreement, exceed the price paid by you for your account.

b. The Company makes no representations or warranties as to the conduct of individuals registering for the Service or their compatibility with any current or future Members. By using this Service, you acknowledge that AbideWithMe, LLC does not in any way screen its Members or verify their statements, and you agree that you bear sole risk and responsibility in any communications and meetings with individuals introduced to you through this Service. In no event shall the company be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to your conduct or that of anyone else in connection with the use of the service, including without limitation, bodily injury, emotional distress, financial loss and/or any other damages resulting from any interactions with other Members or users of this Service or persons introduced to you by this Service.

c. Notwithstanding anything to the contrary contained herein, Abidewithme, LLC’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Abidewithme, LLC for the service during the term of membership.

Term/Termination

This Agreement will remain in full force and effect while you use the Website and/or are a Member. The Company may terminate your account, including all postings, communications and information, at any time, if we believe you have breached any portion of this Agreement, or if we believe it is in our best interest or that of our other Members. In the event that your access to the Service is suspended or terminated due to your violation of any part of this Agreement, you agree that all fees then paid to the Company by you shall be nonrefundable. Following any termination hereof, the Company reserves the right to send a notice that you have been terminated to other Members with whom you have corresponded. You agree that Abide With Me, LLC, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Service. You further agree that Abide With Me, LLC shall not be liable to you or any third party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination. Abide With Me, LLC is not required, and may be prohibited, from disclosing a reason for the termination of your account. Even after your membership is terminated, this Agreement will remain in effect. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination. If you terminate your subscription, your subscription will remain active until the end of your then-current subscription period (that is, the subscription period through which you had paid prior to your termination).

General practices regarding postings on site

You acknowledge that we may establish general practices and limits concerning use of our site, including but not limited to matters pertaining to the number and size of emails, the length of time Content will remain on our site, and parameters on what Content may be posted.

Postings on our Site may not contain any personal identifying information, such as full name, postal or email address or phone number. You must choose a nickname (User Name) and will be provided with an account through which you will be able to initially correspond with others.

All Postings must comply with the Federal Fair Housing Act. This law makes it illegal to state, when posting a notice for housing (whether sale, rental or roommates), a discriminatory preference based on any of the following categories:

Federal laws regarding roommates and shared housing have two components, advertising and decision making. While discrimination in advertising is prohibited, homeowners MAY discriminate in the selection process of selecting a person who will share their housing. Jurisdiction and Choice of Law

You expressly agree, by using the Website, that any dispute arising out of the Website and/or the Service shall be governed by the laws of the State of Ohio, without regard to its conflict of law provisions. In addition, you expressly agree and consent to the exclusive jurisdiction and venue of the state and federal courts of the State of Ohio, in Stark County, for the resolution of any such dispute.

This Terms of Use Agreement contains the entire agreement between you and AbideWithMe.us and govern your use of this Website and Service. These terms will continue even upon termination of your membership. If any provision within this agreement is found to be invalid by a court of law, the remainder is considered to be in full force and effect. You agree that you are responsible for reviewing updated Terms of Use and are bound by them. No advice or other information, whether written or oral, obtained by us shall create any warranty not expressly stated in these Terms of Use.
